Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Skin Kins Co., a Delaware corporation ("Skin Kins," "we," "us," or "our"), governing your access to and use of the Nodey mobile application (the "App"), the website at getnodey.com, and any related services we offer (collectively, the "Service").

Please read these Terms carefully. Section 14 contains a binding arbitration agreement and a class-action waiver that affect your legal rights.

By installing, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age in your country at which you can lawfully consent to the processing of your personal data) to use the Service. If you are under 18, you represent that you have your parent or guardian's permission. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" includes both you and the organisation.

The Service is operated from the United States and may not be available in all countries. You are responsible for compliance with local laws.

2. The Service

Nodey is a mobile companion application for n8n. It connects to n8n instances that you control — either self-hosted n8n servers or n8n.cloud accounts — and provides:

• Workflow monitoring, execution history, and notifications;
• The ability to enable, disable, and trigger workflows;
• AI-powered analysis features (the "AI Features"), described in Section 6 below;
• Trigger automations based on geofences and NFC tags;
• Encrypted backup of workflow definitions.

Nodey is not affiliated with, endorsed by, or sponsored by n8n GmbH, Apple Inc., Google LLC, Anthropic PBC, Mistral AI, or any other third party named in these Terms or in our Privacy Policy. n8n is a trademark of n8n GmbH; we use the name solely to describe interoperability.

3. Your account and credentials

You provide your own n8n API keys and (optionally) AI provider API keys to the App. These keys are stored in the iOS Keychain or Android Keystore on your device and transmitted only to the services they correspond to. You are responsible for:

• Keeping your keys confidential;
• The activity that occurs when keys you provide are used;
• Charges that the relevant third-party service (your n8n provider, your AI provider) bills against the keys you provide;
• Revoking compromised keys.

Skin Kins is not liable for charges that any third party bills against keys you supplied to the App. This includes AI provider usage charges (Anthropic, Google, Mistral) and any costs from your n8n hosting provider triggered by Nodey-initiated activity.

4. Acceptable use

You agree not to:

1. Use the Service in violation of any law or regulation, or in a manner that infringes any third party's rights;
2. Use the Service to send, store, or process content that is unlawful, infringing, deceptive, or harmful, or to facilitate doing so;
3. Reverse engineer, decompile, or disassemble the App, except to the extent expressly permitted by applicable law;
4. Circumvent or attempt to circumvent any security feature, access control, or rate limit;
5. Use the Service to abuse, attack, or interfere with any system, including any n8n instance you do not own or have permission to use;
6. Use the Service to send unsolicited messages, spam, or to scrape data from any service in violation of that service's terms;
7. Use the Service in connection with any application that is regulated in a way that imposes specific compliance requirements on Skin Kins (for example, health applications subject to HIPAA, financial services subject to GLBA, or applications processing children's data subject to COPPA), without first contacting us;
8. Resell, rent, lease, or sublicense the Service or its output, or use the Service to train or fine-tune any machine learning model.

We may suspend or terminate your access if we reasonably believe you have violated these Terms.

5. Subscriptions, in-app purchases, and the Founding Member offer

5.1 Tiers

Nodey is offered in the following tiers:

Prices are in US Dollars unless otherwise indicated by your local App Store or Play Store. Local pricing in other currencies and any applicable taxes are determined by Apple or Google.

5.2 Billing through Apple and Google

Subscriptions purchased through the iOS App are billed by Apple under the terms of your Apple ID. Subscriptions purchased through the Android App are billed by Google under the terms of your Google account. We do not have access to your full payment instrument; we receive only the transaction confirmation and product entitlement information necessary to grant you access.

5.3 Auto-renewal

Pro Monthly and Pro Yearly subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the end of the current period. You can manage and cancel your subscription at any time:

• iOS: Settings → [your name] → Subscriptions, or in the App Store app
• Android: Google Play app → Profile → Payments & subscriptions → Subscriptions

Cancellation takes effect at the end of the then-current billing period. We do not provide prorated refunds for partial periods.

5.4 Refunds

Refund requests are handled by Apple or Google under their respective policies, not by Skin Kins. Skin Kins will support reasonable refund requests where the App genuinely failed to deliver promised functionality, but the platform processes them. Refund policies for Apple are at https://support.apple.com/billing. Refund policies for Google Play are at https://support.google.com/googleplay.

5.5 Founding Member ("Lifetime") access

The Founding Member offer is a one-time purchase that grants access to Pro features for the operational lifetime of the Service. This is an important definition. "Lifetime" means:

• For as long as Skin Kins continues to operate Nodey as a commercial Service;
• It does not mean perpetual access if Skin Kins ceases to offer Nodey;
• It does not mean access to features that materially expand the scope of the product (for example, a future Nodey Enterprise tier or a future product line acquired or developed by Skin Kins) — those may require a separate purchase, but the Founding Member tier will continue to receive at least the equivalent of the then-current "Pro" feature set in Nodey.

If Skin Kins discontinues the Nodey Service entirely (i.e., shuts the product down), Founding Members will receive at least 90 days' notice and, where lawful and feasible, a pro-rated refund based on a 3-year reasonable lifetime (i.e., 1/36th of the original purchase price for each full month of unused access remaining within the 3-year period from the date of purchase). Skin Kins is the sole arbiter of the refund amount, and the refund described here is the exclusive remedy available to Founding Members for any discontinuation of the Service. After 36 months from the date of purchase, no refund is owed for discontinuation of the Service.

The Founding Member offer is limited to 250 total purchases. Once 250 purchases have been completed, the offer will close. Skin Kins may, at its discretion, expand or re-open the offer in the future under different terms.

5.6 Changes to pricing

We may change subscription prices for new subscribers and renewals. For existing subscribers, we will notify you at least 30 days in advance of a price change taking effect. If you do not agree, you can cancel before the change takes effect. The Founding Member purchase price is not subject to price changes — it is a one-time payment.

5.7 No purchase required for BYOK users

You may use Nodey on the Free tier indefinitely. If you supply your own API key (BYOK) for an AI provider (Anthropic, Google, or Mistral), you may also use the AI Features without a Pro subscription. Charges from the AI provider for your use of your own key are between you and that provider.

5.8 Apple-specific terms

You acknowledge that these Terms are between you and Skin Kins, not with Apple, and Skin Kins (not Apple) is solely responsible for the App and its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the App's purchase price to you (if applicable); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing claims by you or any third party relating to the App, including product liability, consumer protection, or intellectual property claims. Skin Kins (not Apple) is responsible for investigating, defending, and resolving any third-party claim that the App or your use of it infringes intellectual property rights. You agree to comply with applicable third-party terms (for example, your wireless carrier's data agreement) when using the App. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

5.9 Google Play-specific terms

If you obtained the App through Google Play, these Terms supplement Google's Terms of Service and Google Play's Developer Distribution Agreement and Terms of Service to the extent they apply. Google is not responsible for the App or its content. Refund and billing disputes for Google Play purchases are governed by Google's policies.

6. AI Features

6.1 What the AI Features are

The AI Features include Workflow Explainer, Error Diagnosis, Security Hardening, Code Optimizer, Workflow Cleanup, Error Pattern Analysis, Performance Profiler, Workflow Builder, Deep Dive, and Debug Companion. They use third-party large-language models to analyse your workflow content and produce suggestions and explanations.

6.2 You consent each time you use AI

Before any AI Feature transmits data, the App requests your explicit consent and tells you the AI provider that will receive the data. You can revoke consent at any time in Settings → AI Settings, after which AI Features will not function until you re-consent.

6.3 Where data goes

• Nodey AI mode (default): data goes through Skin Kins-operated infrastructure (in the Netherlands and Phoenix, AZ) and is processed by Mistral AI or Anthropic, depending on the feature tier.
• BYOK mode: data goes directly from your device to the AI provider whose key you supplied (Anthropic, Google, or Mistral), using your key. Skin Kins does not see, log, or proxy this content.

6.4 AI output is informational only

AI-generated output is advisory, not authoritative. The AI may produce inaccurate, incomplete, or out-of-date analysis. Do not rely on the AI Features for security audits, compliance certifications, or any decision with significant legal, financial, medical, or safety consequences without independent verification.

You are responsible for reviewing AI output before applying any suggested change to your workflows. Skin Kins is not liable for damage caused by reliance on AI Features.

6.5 No training on your data

Skin Kins does not use your data to train any AI model, and we contract with Mistral and Anthropic in configurations that do not use API customer data to train models. For BYOK mode, training behaviour is governed by the provider whose key you used — refer to that provider's terms.

6.6 Sensitive data

If your workflows process sensitive personal data (health records, biometrics, government identifiers, payment card data, children's data, criminal records, etc.), you are solely responsible for ensuring that submitting that data to an AI provider through Nodey is lawful. Skin Kins is not your data processor for the contents of your n8n workflows.

7. Triggers (Geofence and NFC)

The App can fire your n8n webhooks based on geofences (you enter or leave a defined location) or NFC tag scans. By configuring a trigger, you authorise the App to make outbound HTTP requests to the URLs you have configured. You are responsible for the security of those webhook URLs and for the consequences of triggering them.

We strongly recommend using HTTPS webhook URLs and adding authentication (such as a shared secret header) to any webhook you point Nodey at. The App will warn you if you configure an insecure (HTTP) webhook URL.

8. Privacy

Our collection, use, and sharing of personal information is described in our Privacy Policy. The Privacy Policy is part of these Terms. By using the Service, you agree to the practices described there.

9. Intellectual property

9.1 Our IP

The App, the website, the Nodey name and logo, and all related software, designs, text, and other content are owned by Skin Kins or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose, subject to these Terms.

9.2 Your content

You retain all rights in the content you provide or process through the App (your workflows, your prompts, your configuration). You grant Skin Kins a limited licence to process that content as necessary to provide the Service to you (including transmitting it to AI providers when you invoke an AI Feature). This licence terminates when you delete your account or when the relevant request completes.

9.3 AI output

To the extent AI output is copyrightable, you may use AI output produced for you in connection with your use of the Service. AI output is generated by third-party models; Skin Kins makes no representation that AI output is original or that its use will not infringe third-party rights. Independently verify any AI output before using it in a context where infringement matters.

9.4 Feedback

If you send us feedback, suggestions, or feature requests, you grant us a perpetual, worldwide, royalty-free licence to use that feedback for any purpose without obligation to you.

10. Third-party services

The Service interoperates with third-party services that you choose to connect (n8n instances, AI providers, cloud-hosted endpoints). Your use of those services is governed by their own terms and privacy policies. Skin Kins is not responsible for, and has no control over, those services. We are not liable for the availability, accuracy, or content of any third-party service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, SKIN KINS DOES NOT WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY DATA TRANSMITTED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (D) AI OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PURPOSE.

Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you in full.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) IN NO EVENT WILL SKIN KINS OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF SKIN KINS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) SKIN KINS' TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID TO SKIN KINS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY OR (II) ONE HUNDRED US DOLLARS (US $100).

(C) THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER BASIS, AND THEY APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Skin Kins and its directors, officers, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service in violation of these Terms; (b) your violation of any law or any third party's rights; (c) the keys you supply to the App and any charges incurred against them; (d) the content you process through the Service, including content you submit to AI providers through the AI Features; or (e) your acts or omissions in operating any n8n instance the App connects to.

We may, at our option, assume the exclusive defence and control of any matter for which you are required to indemnify us, in which case you will cooperate with our defence.

14. Dispute resolution; arbitration; class-action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

14.1 Informal resolution first

Before filing any claim against Skin Kins, you agree to first contact us at contact@getnodey.com with a description of your claim. We will attempt in good faith to resolve the dispute informally for at least 60 days before either party initiates arbitration or court proceedings.

14.2 Binding arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration, except as set out in Section 14.4.

The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will take place in Wilmington, Delaware, or, at your election, by telephone or video. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction. We will reimburse your reasonable filing fees if you are an individual consumer with a claim under $10,000.

14.3 Class-action waiver

You and Skin Kins agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims, and may not preside over any form of representative or class proceeding. If a court determines that this class-action waiver is unenforceable as to any particular claim or remedy, then that claim or remedy (and only that claim or remedy) will be severed from arbitration and may be brought in court, while all other claims will continue in arbitration.

14.4 Exceptions to arbitration

Either party may bring an action (i) in small-claims court for any qualifying dispute, or (ii) in court to enjoin infringement or misuse of intellectual-property rights.

14.5 Opt-out

You may opt out of the arbitration agreement and class-action waiver by emailing contact@getnodey.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

14.6 Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. For any matter not subject to arbitration, you and Skin Kins agree to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, and waive any objection to such jurisdiction or venue.

If you reside in the European Union, the United Kingdom, or another jurisdiction whose mandatory consumer-protection laws give you rights that cannot be waived, those rights are not affected by this section, and you may bring claims in the courts of your country of residence.

15. Termination

15.1 By you

You may stop using the Service at any time and may cancel your subscription as described in Section 5.3. Uninstalling the App will terminate these Terms with respect to that installation.

15.2 By us

We may suspend or terminate your access to the Service if (a) you breach these Terms; (b) we are required by law; (c) we discontinue the Service (subject to Section 5.5 for Founding Members); or (d) your use creates risk or legal exposure for Skin Kins.

We will provide reasonable notice where practicable, but for material breaches we may terminate immediately.

15.3 Effect of termination

On termination: (a) your licence to the App ends; (b) we may delete your data subject to the retention rules in the Privacy Policy; (c) Sections 9 (Intellectual property), 11 (Disclaimers), 12 (Limitation of liability), 13 (Indemnification), 14 (Dispute resolution), 15.3, and 16 survive.

16. General

16.1 Entire agreement

These Terms, the Privacy Policy, and any in-app notices we present are the entire agreement between you and Skin Kins regarding the Service and supersede any prior agreements.

16.2 Changes

We may modify these Terms from time to time. When we do, we will update the "Last updated" date and post the revised Terms at getnodey.com/terms-of-service. For material changes, we will give you notice through the App or by email at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance.

16.3 No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

16.4 Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

16.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganisation, or sale of substantially all of our assets, or otherwise with prior notice to you.

16.6 Force majeure

Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, governmental action, internet outages, or AI provider outages.

16.7 Export controls

You agree to comply with all applicable US and other export and re-export laws and regulations and not to use the Service in any country subject to a US embargo or for any prohibited end use.
